Regulatory Matters
SGMA is engaged in the provision of strategic and financial consulting services. SGMA is not a regulated financial institution. SGMA is not registered with nor regulated by the U.S. Securities and Exchange Commission (“SEC”). SGMA not a member of the Financial Industry Regulatory Authority (“FINRA”), www.finra.org, nor is SGMA a member of the Securities Investor Protection Corporation (“SIPC”), www.sipc.org.
All securities, when, if and as offered, are offered through Niagara International Capital Limited (“NICL”). SGMA and NICL are affiliates under common ownership.
SGMA does not offer to sell or buy securities nor does it engage in securities brokerage or securities trading of any kind. Employees and other affiliates of SGMA provide strategic and financial consulting services to third party clients on behalf of SGMA. Certain employees of SGMA are registered securities representatives and registered securities principals of NICL. Operating in their capacity as registered securities representatives and registered securities principals, certain SGMA employees provide financial advice on corporate mergers, corporate acquisitions, securities private placement transactions and similar corporate finance matters and they also may perform advisory services in connection with securities underwritings, although no NICL registered principal or NICL registered representative affiliated with or employed by SGMA engages in the sale of or purchase of underwritten securities to or on behalf of investors in their capacity as SGMA employees. Neither SGMA nor any employees or affiliates thereof provide or publish securities research or analyst reports intended to recommend securities transactions, nor do they solicit or carry securities accounts for, or offer or sell securities products to, retail customers.

Business Continuity
SGMA has developed and implemented a business continuity plan in the case of any business disruption that causes us to have limited or no communications with our employees or customers. Our plan anticipates two types of business disruptions, internal disruptions that affect only our ability to do business (such as a fire in our building) and external disruptions that prevent the operation of securities markets and/or other firms (such as natural disasters or acts of war).
SGMA intends to stay in business during both internal and external disruptions due to the fact that our employees can conduct SGMA-related business from alternate off-site physical locations and we maintain an alternate location for the maintenance of our books and records. We anticipate that SGMA will recover from internal business disruptions within 24-48 hours. An outage due to an external business disruption may be longer and is beyond our control. However, we will endeavor to resume business as soon as it is possible for SGMA to establish business operations from alternate off-site physical locations.
Our business continuity plan specifically addresses the following areas related to our operations:
- Data back-up and recovery (hard copy and electronic)
- All mission critical systems
- Procedures to test and determine our ability to do business (i.e., financial and operational assessments)
- Alternate communications between customers and us
- Alternate communications between us and our employees
- Alternate physical location of employees
- Critical business constituent, bank, and counter-party impact
- Regulatory reporting
- Communications with regulators
- Descriptions of any relationships between third-parties and us
Privacy
Except in accordance with applicable law or regulation, SGMA will not share with third parties e-mail addresses or other information that it may collect through this website.
IMPORTANT REGULATORY INFORMATION
Certain employees and affiliates of SGMA are registered securities representatives and registered securities principals of NICL. SGMA and NICL are affiliates under common ownership. When employees and other affiliates of SGMA who are registered securities principals and registered securities representatives of NICL engage in securities transactions, they do so as associated persons of NICL, under the supervision of NICL and via a d/b/a relationship with SGMA. SGMA is not regulated by the SEC and not a member of FINRA or SIPC. NICL is registered with and regulated by the SEC, and NICL is a member in good standing of FINRA and SIPC.
